1. Introduction
Welcome to Nuwall Wallpapers. These Dealer Terms and Conditions ("Terms") govern your business relationship
and use of the Nuwall B2B platform, mobile app, and related services provided by NUWALL WALLPAPERS PRIVATE
LIMITED ("Nuwall," "we," "our," or "us").
By registering as a dealer, using our mobile app, or placing orders with Nuwall, you agree to these Terms.

2. Definitions
- Dealer: Authorized wallpaper dealers, stockists, and distributors registered with Nuwall.
- Platform: The Nuwall dealer website, mobile app, and related ordering systems.
- Products: Wallpaper collections and related items available through Nuwall.
- Services: All business services provided by Nuwall, including ordering, delivery, and support.
3. Dealer Registration and Account
3.1 Eligibility
- Be a legitimate business engaged in wallpaper retail or distribution.
- Provide accurate business and GST information.
- Be at least 18 years old and legally authorized to enter into contracts.
- Comply with all applicable laws and regulations.
3.2 Registration Process
- Submit complete and accurate business information and documents.
- Verification typically takes 2–3 business days.
- Dealer approval is at Nuwall’s discretion.
3.3 Account Responsibility
- You are responsible for all activity under your account.
- Do not share login credentials with unauthorized persons.
- Notify us immediately of any unauthorized use.
- We may suspend or terminate accounts that violate these Terms.
3.4 Account Information
- Keep your account details updated at all times.
- Notify us promptly of ownership or structure changes.
4. Orders and Transactions
4.1 Order Placement

- Orders are subject to product availability. No minimum order quantity applies.
4.2 Order Confirmation
- Confirmed upon payment or credit approval.
- Confirmation includes details, estimated delivery, and tracking.
4.3 Order Modifications and Cancellations
- Modify or cancel orders before dispatch.
- Refunds, if applicable, processed within 7–10 business days.
5. Pricing and Payment
- All prices are in INR, excluding taxes unless stated.
- Final price is that confirmed at order placement.
- We reserve the right to correct pricing errors.
- Payment due before dispatch. Methods: UPI, Cards, Net Banking, COD (if available).
- Payments processed via Razorpay; no card data stored by Nuwall.
- Credit terms may be extended at our discretion.
- PCI-DSS compliant gateway; payment info encrypted.
6. Delivery
- Free delivery on all orders. Standard: 2–3 business days nationwide (same-day in select areas).
- Delivery from nearest warehouse; tracking provided via app/email/SMS.
- Inspect packages on receipt; report issues within 24 hours.
- Risk transfers upon delivery. Sign only after inspection.
7. Returns, Refunds, and Cancellations
- Returns accepted for damaged, defective, or incorrect products; report within 48 hours with photos.
- Returns require authorization; do not send without approval.
- Refunds issued after inspection within 7–10 business days.
- Certain items (used, installed, or without original packaging) are non-returnable.
8. Product Information and Quality
- Catalogs display accurate specifications; minor variations may occur.
- All items undergo quality checks.
- Samples available on request (charges may apply).
9. Business Analytics and Reports
- Access invoices, statements, and performance data via the dealer app.
- Report inaccuracies within 7 days.
10. Intellectual Property
- All content, trademarks, logos, and catalogs belong to Nuwall or its licensors.
- Dealers may use product images solely for marketing Nuwall products.
11. Dealer Conduct and Responsibilities
- Provide truthful information and maintain professional standards.
- Avoid misuse, fraudulent activity, or IP infringement.
- Treat Nuwall staff and partners respectfully.
12. Data and Privacy
- Your relationship is governed by our Privacy Policy.
- App may request access to device data for service performance; permissions controllable via device settings.
13. Confidentiality
- Dealer-specific pricing, business data, and communications are confidential.
14. Limitation of Liability
- Liability limited to the total paid in the last 12 months.
- Not liable for indirect, consequential, or incidental damages.
- Force majeure conditions apply.
15. Indemnification
You agree to indemnify and hold harmless Nuwall, its employees, and affiliates from losses or claims resulting from your actions or violations of these Terms.
16. App Usage License
Nuwall grants a limited, non-transferable license to use the Nuwall Dealer App for authorized business purposes. You may not modify or redistribute the app.
17. Third-Party Platforms
The Nuwall app is distributed via Apple App Store. Apple is not responsible for content or support. Nuwall handles maintenance and updates.
18. Termination
- You may terminate your account with written notice.
- We may suspend/terminate accounts for violations or nonpayment.
- Outstanding obligations survive termination.
19. Dispute Resolution
Contact us first; unresolved disputes will go to arbitration or courts in Coimbatore, Tamil Nadu, India.
20. General Provisions
- These Terms are the entire agreement; invalid provisions do not affect the remainder.
- Failure to enforce a term is not a waiver.
- We may assign rights; dealers may not assign without consent.

By registering as a dealer and using the Nuwall platform or app, you acknowledge that you have read, understood, and agree to these Terms.
